These Terms of Service are a legally binding agreement between you and Looping Vids regarding your use of the Service and your use of Looping Vids digital Products.

Please read these Terms carefully before purchasing or using any Product.

By accessing or using the Service, or by purchasing or using a Product, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service or Products.

For clarity, these Website Terms of Service are between you and Looping Vids. Fourthwall, Inc. ("Fourthwall") is the seller and Merchant of Record for Products purchased through the Service. Purchases are subject to Fourthwall's separate Merchandise Terms of Service, which govern the transaction between you and Fourthwall.

1. Service Overview

Looping Vids provides a website through which customers can purchase digital streaming assets and related digital Products.

Our Products include premade digital assets such as animated alerts, stream screens, overlays, backgrounds, transitions, graphics and other streaming-related content.

All Looping Vids Products are premade digital products. Products are not customised, personalised or individually created for a particular customer unless expressly stated otherwise on the relevant Product page.

2. Eligibility

You must be at least 16 years old to use the Service.

By agreeing to these Terms, you represent and warrant that you are at least 16 years old, that you have not previously been suspended or removed from the Service, and that your use of the Service complies with applicable laws and regulations.

3. Accounts and Registration

Some features of the Service may require you to create or use an account.

Where account information is required, you agree to provide accurate information and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

4. Products, Orders and Transactions

Products available through the Service are sold by Fourthwall, Inc., which acts as the seller and Merchant of Record for purchases made through the Service.

Fourthwall processes payments and administers transaction-related matters in accordance with its applicable terms and policies.

Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

5. Digital Delivery

Looping Vids Products are digital Products and do not involve the shipment of physical goods.

Digital files are delivered through the Fourthwall Service following purchase.

Products are generally provided as downloadable files, which may include .zip, .webm, .png, .wav and other file formats specified on the applicable Product page.

You are responsible for having suitable software and hardware to download, extract and use the files.

6. Refunds and Cancellations for Digital Products

Looping Vids products are premade digital downloads supplied under a licence to use the purchased assets. No physical goods are shipped.

Change-of-mind refunds are not offered. This includes situations where a customer changes their mind after purchasing, decides they no longer want the product, or purchases a product that does not suit their preferences or intended use, provided the product was accurately described and is otherwise compliant with applicable consumer law.

If files are corrupted, inaccessible due to a problem with the supplied files, materially different from their description, or otherwise fail to meet applicable consumer guarantees, please contact Looping Vids for assistance.

Fourthwall administers refund, cancellation and other transaction-related requests in accordance with its applicable terms, policies and legal obligations. Nothing in these Terms excludes or limits any consumer guarantee, right or remedy that cannot lawfully be excluded or limited.

7. Product License

Subject to your compliance with these Terms, Looping Vids grants the original purchaser a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased Product for their own streaming and content-creation activities.

This includes use in your own streams and content published on platforms such as Twitch, YouTube and similar services, including monetised content.

Purchasing a Product does not transfer ownership or copyright in the Product to you.

Unless expressly permitted by Looping Vids in writing, you may not:

  • resell or sublicense the Product;

  • share, distribute or make the Product available to another person;

  • upload the original files to file-sharing services, asset libraries or similar platforms;

  • provide the files to another streamer, creator, client or organisation for their use;

  • include the files in another product, download, template or asset pack;

  • use the files to create products or assets for resale or redistribution;

  • claim the original artwork or substantially derived artwork as your own;

  • materially alter, edit, repurpose or recreate the artwork for redistribution or use outside the permitted license; or

  • use the Products, in whole or in part, to train, fine-tune, develop or contribute to artificial intelligence systems, machine-learning models or datasets.

You may make ordinary adjustments necessary to use a Product within your streaming software, such as positioning, scaling, cropping where technically necessary, or adjusting audio volume.

8. No Customisation

Looping Vids Products are premade products.

A Product purchase does not include custom design work, colour changes, personalised text, bespoke animation, alterations made specifically for an individual customer, or other custom modifications unless a Product explicitly states otherwise.

Customers should not purchase a Product with the expectation that Looping Vids will make individual changes to it.

9. Product Support

Looping Vids provides support relating to the Products themselves.

This includes reasonable assistance with:

  • questions about the files included with a purchase;

  • questions about the intended use of a Product;

  • Product-specific setup information; and

  • issues relating to the supplied files.

Looping Vids does not provide installation services, customisation services, bespoke design services or general technical support for third-party software, streaming platforms, hardware or operating systems.

10. Compatibility

Product compatibility varies depending on the Product, streaming software, alert service, operating system and other components of your setup.

Product descriptions may identify intended software or services, but Looping Vids cannot guarantee compatibility with all current or future versions of third-party software or platforms.

For example, animated alert Products provide the visual alert media itself. A compatible alert service or platform, such as Streamlabs or StreamElements, may be required to trigger and display those alerts through streaming software such as OBS Studio or Streamlabs Desktop.

You are responsible for confirming that a Product is suitable for your intended setup before purchase.

11. Intellectual Property

All Looping Vids artwork, animations, graphics, designs, sounds and other creative materials remain the intellectual property of Looping Vids unless expressly stated otherwise.

Nothing in these Terms transfers ownership of any intellectual property to you.

All rights not expressly granted under these Terms are reserved by Looping Vids.

Unauthorised copying, distribution, resale or other use outside the license granted under these Terms is prohibited.

12. Prohibited Conduct

By using the Service, you agree not to:

  • use the Service for any unlawful purpose;

  • violate or infringe the rights of Looping Vids, Fourthwall or any third party;

  • attempt to interfere with or circumvent security or access-control features of the Service;

  • distribute malicious software or otherwise interfere with the operation of the Service;

  • engage in fraudulent or deceptive activity;

  • transfer or sell access to the Service or any Product contrary to these Terms; or

  • assist another person in engaging in conduct prohibited by these Terms.

13. Ownership of the Service

The Service itself, including its software, functionality, layout, interfaces and other platform elements provided by Fourthwall, is owned or licensed by the applicable rights holder.

Your purchase of a Looping Vids Product does not give you ownership of Fourthwall's platform or any of its underlying technology.

Your rights in Looping Vids creative materials remain subject to the license described in these Terms.

14. Feedback

If you choose to provide feedback, suggestions or ideas concerning Looping Vids Products or the Service, you grant Looping Vids a non-exclusive, royalty-free right to use that feedback for purposes of improving our Products, services and customer experience.

Providing feedback does not transfer ownership of your independently created intellectual property to Looping Vids.

15. Modification or Termination of the Service

Looping Vids may modify, suspend or discontinue portions of the Service from time to time.

Fourthwall may also modify, suspend or discontinue features of the platform or Creator Site in accordance with its own terms.

Looping Vids and Fourthwall may terminate or suspend access to the Service where permitted under the applicable terms and policies.

16. Effect of Termination

If your access to the Service is terminated, you must cease using the Service.

Termination of access to the Service does not automatically transfer ownership of any Products to you or otherwise change the intellectual-property rights associated with Products.

Any license rights that are expressly made conditional on continued compliance with these Terms may be terminated if you materially breach these Terms.

17. Disclaimers; No Warranties

To the fullest extent permitted by law, the Service and its content are provided on an "as is" and "as available" basis.

Looping Vids does not guarantee that the Service will always be available or that third-party software, platforms or services will continue to support a particular Product.

Looping Vids is not responsible for compatibility issues, interruptions or changes caused by third-party software, streaming platforms, hardware, operating systems or other services outside our reasonable control.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot legally be excluded, restricted or modified.

18. Indemnity

To the fullest extent permitted by law, you agree to be responsible for claims, losses, damages and reasonable costs arising from your material breach of these Terms, your unlawful use of the Service or your infringement of the rights of Looping Vids or a third party.

Nothing in this section limits any rights or obligations that apply between you and Fourthwall under Fourthwall's own terms.

19. Privacy Policy

Please review the Looping Vids Privacy Policy for information regarding the collection, use, storage and disclosure of personal information.

Fourthwall's Privacy Policy also applies to its handling of personal information in connection with the Fourthwall Service and transactions.

20. Additional Terms

Your use of the Service may also be subject to additional terms, policies, rules or guidelines published by Looping Vids or Fourthwall, including Fourthwall's Merchandise Terms of Service and other applicable Fourthwall policies.

Where a transaction-related matter is governed by Fourthwall's Merchandise Terms of Service, those terms will apply to the transaction.

By using the Service and purchasing Products, you consent to receiving electronic communications relating to your orders, purchases, account and use of the Service.

Electronic communications may include order confirmations, receipts, download information, support communications, policy updates and other service-related notices.

You are responsible for ensuring that your use of the Service and Products complies with laws applicable to you.
